Our Renewable Energy Practice Group has advised on hundreds of renewable energy projects–predominantly in the solar and offshore wind space–with projects totaling in excess of several thousand megawatts in capacity. Our clients are for-profit, nonprofit, and governmental entities, in their respective roles as project developers, property owners, project off-takers, investment funds, private equity investors, and financial institutions.
Solar Generation
Solar generation is a robust market in New Jersey and representing clients through each critical stage of these projects is a core practice area at Pearlman & Miranda. Our team advises project developers, property owners, project off-takers, investment funds, private equity investors, and financial institutions in various facets of project development and financing. Our industry-leading experience ranges from advising clients on some of the largest behind-the-meter public private partnerships in the state to representing clients as they navigate the development of individual community solar, grid connected (wholesale), and behind-the-meter projects. This representation includes:
Negotiation of core transaction documents, including, without limitation, site leases, power purchase agreements, purchase and sale agreements, membership interest purchase agreements, and loan agreements
Extensive experience practicing before the New Jersey Board of Public Utilities, including assisting project developers in various regulatory compliance matters and obtaining financial incentives under the state’s Community Solar Administratively Determined Incentive, and Competitive Solar Incentive programs (as well as under the state’s prior incentive programs–the initial Solar Renewable Energy Certificate program and the Transition Renewable Energy Certificate program)
Securing necessary state and local regulatory approvals, with a particular expertise in the development of solar projects on landfills and navigating the myriad regulatory approvals required, including permits and approvals from the municipal Planning or Zoning Board, County Planning Board, applicable Soil Conservation District, New Jersey Department of Environmental Protection and New Jersey Pinelands Commission, as applicable
Developing innovative project financing structures to facilitate large scale behind-the-meter public private partnerships
We have also advised the solar industry and public financing authorities on solar policy at the state level and our attorneys have been on the cutting edge of developing key regulations and programs in New Jersey.
Offshore Wind Energy
Pearlman & Miranda has been at the forefront of New Jersey’s Offshore Wind Renewable Energy Certificate (OREC) program, the core financial incentive offered to project developers by the State, administered by the New Jersey Board of Public Utilities. Our team has been involved in all aspects of offshore wind since its inception in New Jersey and we leverage that comprehensive, highly specialized knowledge to advance our clients’ interests.
While New Jersey’s first utility scale OREC procurement took place in 2018, firm attorneys were involved in New Jersey’s offshore wind program long before then, including crafting the finance portion of the 2010 Offshore Wind Economic Development Act, the OREC enabling statute. In 2011 and 2012, firm attorneys prepared and submitted the first application in the state seeking approval for ORECs. The firm has represented project developers in every utility scale OREC procurement administered by the Board of Public Utilities.
